Tide Networks LLC – General Terms & Conditions of Sale and Service
Effective: January 1, 2025
These General Terms & Conditions (“Terms”) apply to all product sales, hardware procurement, software licensing, consulting services, managed services, and related work provided by Tide Networks LLC (“Tide Networks”). By accepting a quote, invoice, sales order, or statement of work (“SOW”), the customer (“Customer”) agrees to these Terms.
1. Orders & Acceptance
All orders are subject to approval by Tide Networks. An order is considered accepted only when confirmed in writing by Tide Networks. Product availability, pricing, and lead times are based on vendor inventory and may change without notice. Tide Networks reserves the right to refuse or cancel any order due to errors, suspected fraud, supply issues, or operational concerns.
2. Pricing, Taxes & Fees
All prices are listed in U.S. dollars unless otherwise stated. Prices exclude taxes, shipping charges, vendor fees, licensing costs, tariffs, and surcharges. Customer is responsible for all applicable taxes and third-party fees. If a vendor increases prices before fulfillment, Customer may be required to approve the updated cost before order completion.
A 2.99% processing fee will be applied to all credit card payments. This fee will be disclosed at the time of payment.
3. Payment Terms
Invoices are due on receipt unless otherwise specified in writing on the invoice or quote. Late payments may result in suspension of services and may incur late fees.
Customer agrees not to initiate chargebacks, payment disputes, or reversals for any charges that were authorized under an accepted quote, invoice, or agreement. Any chargeback or payment dispute initiated by Customer shall not relieve Customer of the obligation to pay all amounts due.
Customer is responsible for all costs associated with chargebacks, including but not limited to processor fees, bank fees, administrative costs, and third-party recovery expenses. Tide Networks reserves the right to re-invoice disputed amounts and suspend services until payment is resolved.
4. Shipping, Delivery & Risk of Loss
Delivery dates are estimates only. Tide Networks is not responsible for delays caused by carriers, supply chain disruptions, or vendors. Risk of loss transfers to Customer upon:
-
Delivery to the Customer, or
-
Delivery to the carrier when shipped directly from a vendor.
Customer must inspect goods promptly and report any damage within 48 hours of receipt.
5. Returns, Cancellations & Refunds
All cancellations are handled on a best-effort basis. Once an order is processed, shipped, licensed, provisioned, or fulfilled with a vendor, cancellation may not be possible.
All hardware, software, and subscription purchases are non-returnable unless expressly authorized in writing by Tide Networks.
Products that are opened, installed, activated, provisioned, or licensed are non-returnable.
Approved returns may be subject to restocking fees, vendor return fees, or shipping costs.
6. Subscription & Licensing Commitments
For software, cloud services, security tools, or vendor licensing purchased through Tide Networks:
-
Many licenses require annual or multi-year commitments.
-
Customer is responsible for the full remaining term if the Customer cancels early or chooses not to renew service.
-
Additional licenses may be added at any time and will co-term with the existing agreement.
This applies to Microsoft, Mimecast, Cisco Umbrella, SentinelOne, and other subscription-based platforms.
7. Managed Services & Consulting
Managed services, monthly support, and consulting engagements are governed by these Terms and any applicable SOW or service agreement.
Customer agrees to:
-
Provide necessary access to systems, facilities, and personnel
-
Maintain supported hardware/software
-
Follow security recommendations and best practices
-
Maintain reliable internet and power
-
Ensure stable networking conditions for service delivery
Delays caused by Customer may extend timelines or increase project costs.
8. Service Term, Renewal & Termination
Unless otherwise stated:
-
Services are billed month-to-month or as stated in the SOW or quote.
-
Annual or multi-year services renew automatically unless written notice is provided 30 days before renewal.
-
Early termination may result in charges equal to the remaining term, including licensing commitments.
Tide Networks may suspend or terminate services for non-payment or misuse.
9. Warranty & Vendor Support
Hardware and software warranties are provided by the manufacturer or vendor. Tide Networks does not provide any independent hardware or software warranty. Tide Networks will assist Customer in obtaining vendor support, but the vendor’s warranty terms apply exclusively.
Tide Networks is not responsible for vendor outages, cloud service disruptions, supply chain limitations, or issues arising from unsupported hardware or software.
10. Limitation of Liability
To the fullest extent permitted by Florida law, Tide Networks’ total liability for any claim arising from products or services shall not exceed the total fees paid by Customer in the previous 3 months for the specific product or service involved.
Tide Networks is not liable for:
-
Lost profits
-
Business interruption
-
Loss or corruption of data
-

12. Force Majeure
Tide Networks is not liable for delays or failures caused by events outside its reasonable control, including natural disasters, labor disputes, government actions, vendor outages, or supply chain interruptions.
